Welcome to Open Planner (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our software-as-a-service platform located at open-planner.com (the “Site”) and related services (collectively, the “Service”).

By creating an account, accessing, or using Open Planner, you agree to these Terms. If you do not agree, please do not use our Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you must have your parent or guardian’s consent. You represent that you have the legal authority to accept these Terms.

2. Account Registration

To use Open Planner, you must create an account and provide:

  • Email address
  • Username
  • Password (stored securely using encryption/hashing)
  • Payment information (for paid plans)
  • Phone number (optional)

You are responsible for maintaining the confidentiality of your account and password. You agree to notify us immediately of any unauthorized use of your account. You are solely responsible for all activities under your account.

3. Use of the Service

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to our systems or networks
  • Share or resell your account without permission

We may suspend or terminate your account if you violate these Terms.

4. Payments and Billing

If you purchase a paid plan, you agree to provide accurate and complete payment information. Payments are processed by a third-party provider using PCI-compliant systems. All fees are non-refundable unless stated otherwise.

We reserve the right to change our pricing or billing terms at any time. Changes will be posted on the Site or communicated via email.

5. University Enterprise Agreements

If your access to Open Planner is provided through a university or other educational institution ("Institution") under a licensing agreement:

  • Your use is subject to these Terms and the Institution’s agreement with Open Planner.
  • The Institution may manage and control user access, accounts, and data.
  • We may share certain usage data or aggregated insights with the Institution in accordance with our Privacy Policy.
  • Your Institution may impose its own guidelines for using academic tools.

If you have questions, contact your Institution administrator.

6. Privacy and Data Usage

Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, disclose, and safeguard your personal data, including:

  • Email address
  • Username
  • Password (encrypted)
  • Phone number
  • Payment information (via third-party processor)
  • Uploaded syllabi or documents for parsing

We do not sell or rent personal data. Data may be shared only with service providers to the extent necessary to provide the Service or if required by law.

7. Data Retention Policy

We retain personal and usage data as follows:

  • User account data is retained as long as your account is active.
  • Inactive accounts may be deleted or archived after 12 months.
  • Institutional user data may follow custom retention policies.
  • You may request deletion of your account and personal data through your settings or by contacting us at admin@open-planner.com.
  • We may retain anonymized or aggregated data for analytics and research.

8. Third-Party Services and Integrations

Our Service may integrate with third-party tools (e.g., calendars, hosting, and learning platforms). We are not responsible for the availability, accuracy, or terms of those services. Your interactions with such tools are subject to their respective policies.

9. Beta Features

We may offer beta features or experimental tools. These are provided "as-is" and may be modified or removed at any time without notice.

10. User Content

You may upload content (e.g., syllabi, notes) to the Service. You retain ownership of your content but grant us a limited license to use it to operate and improve the Service. You represent that you have the rights to upload such content and that it does not violate any laws or third-party rights.

11. DMCA and Copyright

If you believe your copyrighted material has been used in violation of the Digital Millennium Copyright Act (DMCA), please contact us at admin@open-planner.com with proper notice. We may remove or disable access to allegedly infringing material.

12. Intellectual Property

All content, features, and functionality of Open Planner—including logos, text, graphics, and software—are the property of Open Planner or its licensors and are protected by copyright and intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your account, with or without notice, if you violate these Terms or remain inactive for an extended period. Upon termination, your right to use the Service ceases and your data may be deleted, except where required for legal or compliance reasons.

14. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Service will be error-free, uninterrupted, or secure.

To the fullest extent permitted by law, Open Planner is not liable for any indirect, incidental, or consequential damages resulting from your use of the Service.

15. Indemnification

You agree to indemnify and hold harmless Open Planner, its affiliates, officers, and employees from any claims or damages arising from your use of the Service or violation of these Terms.

16. Force Majeure

We are not liable for any delay or failure in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, internet outages, or acts of government.

17. Changes to These Terms

We may update these Terms periodically. If changes are significant, we will notify you via email or through the Service. Continued use after changes are posted indicates your acceptance of the updated Terms.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

19. Survival

The following sections will survive termination: Intellectual Property, Disclaimers and Limitation of Liability, Indemnification, Governing Law, and any other provisions intended to survive termination.

20. Entire Agreement / Severability / Waiver

These Terms constitute the entire agreement between you and Open Planner. If any part is found unenforceable, the remainder will remain in effect. Our failure to enforce any right or provision is not a waiver of that right.
